Vancouver, B.C. – Vital Battery Metals Inc. (“Vital” or the “Company”) (CSE: VBAM | OTC: VBAMF | FRA: C0O), is pleased to announce that it is proceeding with a non-brokered private placement for gross proceeds of up to $500,000, consisting of units of the Company (each, a “Unit”) at a price of $0.115 per Unit (the “Private Placement”).
Each Unit will consist of one common share of the Company and one-half of one transferable warrant (each whole, a “Warrant”). Each Warrant will entitle the holder to purchase one common share for twenty-four (24) months at a price of $0.15 per share.
Closing of the Private Placement is subject to the Canadian Securities Exchange approval. The Private Placement is being conducted pursuant to National Instrument 45-106, Part 5A, Listed Issuer Finance Exemption. There is an offering document related to the Private Placement that can be accessed under the Company’s profile at www.sedarplus.ca and at at https://vitalbatterymetals.com. Prospective investors should read this offering document before making an investment decision.
The net proceeds of the Private Placement are expected to be used towards advancement of the Company’s Sting Property and for general working capital purposes. The Company may pay finders fees consisting of 6% cash and 6% warrants in connection with the Private Placement. The warrants shall bear the same terms as the Warrants issued under the Units pursuant to the Private Placement.
